Welcome to Uniweb. These Terms of Service ("Terms") constitute a legally binding agreement between you and Uniweb Inc. ("Uniweb," "we," "us," or "our"), a corporation registered in Ottawa, Ontario, Canada. By accessing or using our website, content management system, hosting infrastructure, or any other services we provide (collectively, the "Services"), you acknowledge that you have read, understood, and agree to be bound by these Terms.

2. Our Services

Uniweb provides enterprise-grade web content management and hosting services through our secure, scalable platform. Our infrastructure is built on Amazon Web Services (AWS), a leading cloud provider trusted by organizations worldwide. We process payments through Stripe, a PCI DSS Level 1 certified payment processor, ensuring the highest level of security for your payment information.

3. Account Terms

3.1. Account Creation and Security

To create a Uniweb Account, you must be at least 18 years old and provide accurate, complete information. We take account security seriously, and you are responsible for maintaining the confidentiality of your account credentials. Any activity that occurs under your account is your responsibility, and you must notify us immediately if you suspect any unauthorized access.

3.2 Organizational Accounts

When you create an account on behalf of an organization, you represent and warrant that you have the authority to accept these Terms on behalf of that organization. Your organization assumes all responsibility for account activity and compliance with these Terms.

4.1 Jurisdictional Compliance

You are responsible for ensuring that all content stored, managed, or published through our Services complies with:

  • All applicable laws in your jurisdiction of operation

  • All applicable laws in Canada (our jurisdiction)

  • All applicable laws in jurisdictions where you make content available

  • Industry-specific regulations applicable to your operations

  • International laws regarding intellectual property, data protection, and export controls

4.2 Prohibited Content and Activities

You may not use our Services to store, manage, or publish content that:

  1. Is illegal in any relevant jurisdiction, including but not limited to:

    1. Content promoting illegal activities

    2. Unauthorized copyrighted material

    3. Materials supporting terrorism or extremism

    4. Child exploitation materials

    5. Illegal gambling operations

    6. Content violating trade sanctions

  2. Facilitates or promotes illegal activities, including:

    1. Drug trafficking

    2. Money laundering

    3. Fraud or scams

    4. Identity theft

    5. Unauthorized access to computer systems

  3. Violates third-party rights, including:

    1. Intellectual property rights

    2. Privacy rights

    3. Publicity rights

    4. Contractual rights

4.3 Content Moderation Rights

We reserve the right to:

  • Monitor content for compliance with these Terms

  • Remove or disable access to any content that we reasonably believe violates these Terms

  • Report potentially illegal content to relevant authorities

  • Terminate accounts that repeatedly violate these Terms

  • Cooperate with law enforcement investigations

We will exercise these rights without prior notice when necessary, in accordance with applicable laws, while protecting user privacy rights, based on objective criteria, and with documentation of our decisions.

Our platform utilizes a sophisticated hybrid delivery architecture:

Static Content Delivery

  • Static assets are distributed through our global CDN

  • Component libraries are versioned and cached globally

  • Media files and documents are served with optimal performance

  • Static site elements are cached at edge locations

Dynamic Content System

  • Real-time content is served through our advanced application infrastructure

  • Powered by distributed databases with automatic scaling

  • Enterprise-grade load balancing ensures consistent performance

  • Intelligent caching layers optimize response times

  • High-availability infrastructure maintains service reliability

This hybrid approach ensures both optimal performance for static content and real-time functionality for dynamic features, providing the reliability and scalability needed for enterprise web applications.

5.3 Storage and Data Management

We implement a clear, accountable storage management system. Under this system:

  • Storage usage is attributed to Content Profile owners

  • All data is automatically backed up

  • Content is distributed globally through our secure CDN

  • Storage quotas are enforced to ensure fair resource allocation

6. Payment Terms

6.1 Secure Payment Processing

All payment processing is handled through Stripe, a PCI DSS Level 1 certified payment processor. This certification represents the highest level of payment security compliance in the industry. We never directly store, process, or transmit your payment information.

6.2 Billing and Payments

We structure our billing terms to be clear and predictable:

  • All payments are processed in advance of service delivery

  • Prices are listed in United States Dollars (USD) unless explicitly stated otherwise

  • We provide detailed invoices for all transactions

  • Price changes are communicated with at least 30 days' notice

6.3 Refund Policy

To maintain fair and consistent service delivery, we maintain the following refund policy:

We do not provide refunds for:

  • Partial months of service

  • Unused storage or features

  • Canceled or transferred sites

  • Annual subscriptions

6.4 Payment Recovery

In the event of payment issues, we implement a structured recovery process:

  • We provide immediate notification of any payment failures

  • A 15-day grace period maintains full service access

  • Multiple automated retry attempts are made

  • Clear communication is provided throughout the process

7. Intellectual Property

7.1 Your Content

You retain all intellectual property rights to content you create, upload, or manage through our Services. By using our Services, you grant us a worldwide, non-exclusive, royalty-free license to host, store, transfer, display, perform, reproduce, modify, and distribute your content solely for the purpose of providing our Services.

7.2 Our Intellectual Property

The Uniweb platform, including our software, designs, systems, and Component Libraries created by us, are protected by intellectual property rights owned by or licensed to Uniweb. These Terms do not grant you any rights to our intellectual property except for the limited purpose of using our Services.

Limitation of Liability

Our Services are provided "as is" and "as available" without any express or implied warranties. We do not warrant that our Services will be uninterrupted, timely, secure, or error-free.

8.2 Liability Limits

To the maximum extent permitted by law, we limit our liability for:

  • User-generated content

  • Third-party actions

  • Regulatory compliance failures by users

  • Indirect or consequential damages

  • Lost profits or revenue

  • Cost of substitute services

Our total liability shall not exceed the amounts paid by you for the Services in the 12 months preceding the claim.

9. Indemnification

You agree to indemnify and hold Uniweb harmless from any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from:

  • Your content

  • Your use of our Services

  • Your violation of these Terms

  • Your violation of any rights of another party

  • Your violation of any applicable laws or regulations

10. Term and Termination

10.1 Term

These Terms remain in effect while you use our Services. You may terminate your account at any time by following our account closure process.

10.2 Termination by Us

We may suspend or terminate your access to our Services:

  • For violation of these Terms

  • For extended payment delinquency

  • For suspected fraudulent activity

  • To comply with legal requirements

  • For repeated violations of our content policies

10.3 Effect of Termination

Upon termination:

  • You must cease all use of our Services

  • You remain liable for all fees incurred

  • Your content may be deleted after 30 days

  • You must remove all Uniweb components from any external systems

11. Governing Law and Jurisdiction

These Terms are governed by the laws of Ontario, Canada. Any disputes shall be resolved exclusively in the courts of Ontario, Canada. You consent to the personal jurisdiction of such courts.

12. Changes to Terms

We may modify these Terms at any time by posting updated Terms on our website. Your continued use of our Services after such changes constitutes acceptance of the modified Terms. We will provide notice of material changes through our Services or via email.
